Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Claycable platform, including the website, API, fine-tuning infrastructure, and agent hosting services (collectively, the “Service”). By using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of entering into a binding contract to use the Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Account

You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorised access to your account. We are not liable for losses resulting from unauthorised use of your account.

You may not share your account, create accounts on behalf of others without their consent, or use automated means to create accounts.

3. Acceptable use

You agree not to use the Service to:

• Train or deploy models that generate illegal content, including content that sexually exploits minors, facilitates violence, or violates applicable laws
• Generate or distribute spam, phishing content, or other deceptive material
• Reverse-engineer, decompile, or attempt to extract the weights or architecture of base models hosted on the Service
• Circumvent rate limits, access controls, or billing systems
• Use the Service to develop competing fine-tuning infrastructure by exploiting proprietary tooling or methods obtained through access to the Service
• Transmit malware, viruses, or other harmful code
• Violate the intellectual property rights of any third party

4. Your content and data

You retain ownership of the training data, prompts, and outputs you create or upload (“Your Content”). By uploading Your Content, you grant us a limited licence to process it solely to provide the Service — for example, to run training jobs or serve inference requests.

You are responsible for ensuring you have the rights to use and process any data you upload. We do not verify the provenance of training data. If Your Content infringes a third party's rights and we receive a valid complaint, we may remove it and suspend your access.

We will not use Your Content to train shared or publicly available models without your explicit consent.

5. Fine-tuned adapters and outputs

Adapters you train on the Service are associated with your account. Subject to these Terms and your subscription plan, you may export and use adapters you have trained. We do not claim ownership of your fine-tuned adapters.

You are responsible for all outputs generated by models or adapters you train, deploy, or use through the Service. We are not liable for outputs of your fine-tuned models.

6. Subscription and billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law or as expressly stated in a separate agreement.

We may change pricing with at least 30 days notice. Continued use after the notice period constitutes acceptance of the new pricing.

If payment fails, we will attempt to collect payment for a period of 7 days before downgrading your account to the free plan. Downgrading does not delete your data; trained adapters and datasets are retained for 30 days after downgrade.

7. API and rate limits

The Service is subject to rate limits that vary by plan. We may adjust rate limits at any time for the stability and fair use of the platform. Attempts to circumvent rate limits may result in account suspension.

8. Availability and SLA

We aim for high availability but do not guarantee uninterrupted service. We are not liable for downtime, data loss caused by infrastructure failures, or delays in training job completion. Enterprise customers with SLA requirements should contact us for a separate agreement.

9. Intellectual property

The Claycable name, logo, platform code, and associated intellectual property are owned by Claycable and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our intellectual property without written permission.

10. Termination

You may cancel your account at any time through the Settings page. We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or pose a security risk. Upon termination, your right to use the Service ceases immediately. Data deletion follows the schedule described in our Privacy Policy.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, THAT OUTPUTS WILL BE ACCURATE, OR THAT ANY FINE-TUNED MODEL WILL PERFORM AS EXPECTED.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLAYCABLE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 CAD, WHICHEVER IS GREATER.

13. Governing law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Disputes shall be resolved in the courts of Ontario, Canada, and you consent to the jurisdiction of those courts.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the platform at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
